Inquiries and Client Engagements

You may contact us at contact@halerka.digital. An inquiry, call, or preliminary discussion does not create a client, partnership, employment, fiduciary, or agency relationship.

Software-development and other agency engagements are governed only by a separate written agreement, proposal, statement of work, purchase order, or other binding document accepted by both parties. That document may cover scope, fees, timelines, intellectual property, confidentiality, warranties, data processing, and liability. If it conflicts with these Website Terms on contracted services, the engagement document controls.

Unless a proposal says otherwise, estimates are preliminary, timelines depend on scope and cooperation, prices may exclude taxes and third-party costs, and a proposal may be withdrawn or revised until it is accepted in the manner it specifies.

Confidential and Project Information

Do not send passwords, access tokens, production credentials, sensitive personal data, proprietary source code, customer databases, or other highly confidential material in an initial email.

An initial inquiry is handled under our Privacy Policy. It is not automatically covered by a non-disclosure agreement. Ask us to enter into an appropriate agreement before sharing confidential detail.

You retain ownership of material you submit and grant us a limited right to review it solely to respond, evaluate an engagement, prepare a proposal, or take another action you request. You confirm that you have the right to provide that material.

Acceptable Use

You agree not to:

• Use the website for unlawful, fraudulent, or abusive purposes;
• Attempt unauthorized access to the website or related systems;
• Probe, scan, or test vulnerabilities without our prior written permission;

Names, logos, screenshots, and other materials relating to showcased projects may belong to their owners. Ownership of work created for a client is determined only by the applicable client agreement.

Project Descriptions and Case Studies

Project descriptions, screenshots, technology lists, and case studies illustrate experience. They may be simplified, anonymized, or edited. They do not promise that another project will have the same scope, timeline, cost, features, or results.

Third-Party Services

The website is hosted on GitHub Pages. If you accept analytics, Google Analytics is loaded as described in the Privacy Policy. We do not control those providers’ independent availability, security, or terms.

A link or technical reference does not imply endorsement unless we expressly say so.

Privacy

Our collection and use of personal information are described in the Privacy Policy.

Website Availability

We aim to keep the website available, but uninterrupted access is not guaranteed. The website may be unavailable because of maintenance, hosting or network failures, security incidents, third-party interruptions, events outside our reasonable control, or discontinuation. We are not obligated to provide support for general use of the website.

Nothing in these terms excludes liability for fraud, intentional misconduct, death or personal injury caused by negligence, or any other liability that cannot legally be excluded. Liability relating to paid software-development services is governed by the applicable client agreement.

Suspension and Enforcement

We may restrict or block access when we reasonably believe a person has violated these terms, is attempting to compromise the website, is creating legal or security risk, or is interfering with other visitors or our infrastructure. We may preserve records and report suspected unlawful conduct where legally permitted or required.

Changes to These Terms

We may update these terms to reflect changes to the website, our practices, or applicable law. The last-updated date shows when this document was published. Changes apply from the stated effective date and do not retroactively amend an existing client agreement.

Your continued use of the website after updated terms become effective constitutes acceptance where permitted by law.

Governing Law and Disputes

These terms are governed by the laws of Ukraine, without regard to conflict-of-laws principles.

Before commencing formal proceedings, you and Halerka Digital agree to make a reasonable good-faith attempt to resolve the dispute by written communication to contact@halerka.digital.

Unless mandatory law provides otherwise, disputes arising solely from these terms or use of the website will be submitted to the competent courts of Ukraine. Nothing in this section removes any mandatory consumer protection, jurisdiction, or dispute-resolution right available to you under applicable law.

General

If any provision is found unlawful, invalid, or unenforceable, it will be enforced to the maximum extent permitted or removed to the minimum extent necessary. The remaining provisions continue in effect.

A failure or delay in enforcing a provision does not waive the right to enforce it later.

These Website Terms and the Privacy Policy are the entire agreement concerning general use of the website. They do not replace a proposal, non-disclosure agreement, data-processing agreement, statement of work, or other written contract governing a specific business relationship.
